Terms and Conditions
Terms for business customers in Switzerland: hardware purchases, software subscriptions, all-in-one rental and the customer-data appendix.
1. Provider and scope
The contracting provider is Myna Technologies Jannis Erni, Lochäckerstrasse 25, 8302 Kloten, Switzerland (MYNA). These terms apply to contracts with businesses and other organisations acting professionally and based in Switzerland for MYNA hardware, local AI software, subscriptions, rental and agreed services.
An inquiry through the website is not an order. A contract begins only when the customer accepts a written MYNA offer. Individually agreed terms in the accepted offer prevail. The customer's own terms apply only if MYNA expressly accepts them.
2. Services and commercial models
MYNA supplies a preconfigured local AI box with the software and performance described in the offer. The customer chooses between purchasing the hardware with a separate MYNA software subscription and renting the hardware and software together. The offer specifies functions, hardware tier, integrations and setup services.
The recommendations for 2, 5 or 10 simultaneous users are capacity guidance. User accounts and processed tokens are not billed individually; throughput and response times depend on computing capacity and actual load.
3. Term and cancellation
The all-in-one rental and the purchase-model software subscription each have a six-month minimum term. After that, the relevant ongoing service may be cancelled in text form on one month's notice. The offer states the start date and billing period.
Either party may terminate for good cause. Where reasonable, it must first allow the other party an appropriate period to remedy a material breach.
4. Delivery and customer responsibilities
Delivery to the agreed address in Switzerland is included in the stated price. The offer sets out the delivery date, installation and any technical acceptance. The customer provides power, networking, a secure location, required approvals and a responsible contact person.
The customer manages users and permissions, protects credentials and secures its network. The customer is responsible for regular data backups and a recovery plan unless the offer expressly assigns those services to MYNA.
5. Prices and payment
Prices in the accepted offer are binding. Published prices exclude VAT and include delivery within Switzerland. Installation and agreed additional services are specified in the offer, as are payment terms and billing arrangements.
MYNA performs separately charged work only after prior agreement. If payment is overdue, MYNA may suspend the affected service after notice and a reasonable cure period, to the extent lawful and proportionate.
6. Local operation and remote maintenance
In standard operation, the MYNA box processes prompts, chats, files, recordings and local knowledge in the customer's network. External cloud AI APIs, external backups and external telemetry are not part of the standard offer and require an express agreement.
MYNA has no standing remote access after handover. Remote maintenance takes place only during agreed maintenance windows, with the customer's approval and through secure temporary access. The customer provides technical connectivity and a contact person; MYNA does not continuously monitor the customer network unless separately agreed.
7. Updates and support
During an active subscription or rental, MYNA provides the agreed software updates, model adjustments, maintenance and support. The offer specifies the support channel, service hours, response targets and any special service levels.
Unless a service-level agreement expressly says otherwise, MYNA does not guarantee specific availability or repair times. MYNA informs the customer of required cooperation and planned maintenance windows.
8. Hardware, defects and replacement
For newly purchased devices, the period for claims concerning material defects is two years from delivery. The customer reports defects to MYNA with a meaningful description. MYNA remains the customer's contact and, after review, remedies covered defects by repair or replacement within a reasonable time; further statutory rights remain reserved.
Under all-in-one rental, MYNA retains ownership of the box. During the rental term MYNA repairs or replaces technical defects not caused by the customer within a reasonable time. MYNA may pursue a claim against its hardware supplier internally; the supplier's warranty does not replace MYNA's duties to the customer.
9. Customer data and export
The customer determines the purposes, user permissions and legality of processing on its MYNA box. The customer is responsible for exporting needed chats and files before the contract ends and checking that its copies are readable. Users export their own chats and workspace files; an administrator may also export shared files. This export is not a full system backup and cannot restore an entire MYNA system onto a box.
MYNA reminds the customer contact named in the offer by email 30 and 7 days before the effective contract end date. MYNA does not check whether individual users exported data or whether copies are complete and recoverable. The available export method is explained at handover; MYNA provides a way to export these contents before an agreed reset.
10. End of contract
Under the purchase model, the customer keeps ownership of the hardware. The right to use MYNA software ends with the software subscription. After the customer exports needed data, MYNA removes its software and installs a standard Linux distribution during an agreed remote session approved by the customer. Without that approval, MYNA does not access or erase the device remotely; the software-use right nevertheless ends.
Under all-in-one rental, the customer returns the box when the contract ends. MYNA pays for the agreed collection or return shipment. The customer exports its data before return; MYNA erases customer data using a documented process after taking back the box. The offer states the return method and dates.
11. AI output and permitted use
AI responses and transcripts can be incomplete or wrong. The customer has suitable professionals review them before medical, legal, financial or other consequential decisions. MYNA does not make those decisions for the customer.
The customer uses the solution lawfully and secures any API it makes available with appropriate access controls. Unauthorised interference with the box's security or third-party rights is prohibited.
12. Rights in software and components
MYNA and the relevant rights holders retain rights in software, models, documentation and know-how. The customer receives the rights needed for the agreed term and internal use only. Rights in the customer's own inputs and files remain with the customer; open-source and open-weight components are also governed by their own licences.
13. Liability and confidentiality
The parties are liable under applicable law. To the extent permitted by law, indirect loss and lost profit are excluded. No limitation of liability is agreed for unlawful intent or gross negligence.
Each party treats the other's non-public business and system information as confidential. Naming the customer as a reference or using its case studies, images, audio or video requires separate permission.
14. Final provisions
Swiss law applies. The place of jurisdiction is Zurich, Switzerland, to the extent permitted by law. Changes to individual agreements are made in text form. If one provision is invalid, the remainder of the contract remains effective.
The German version governs; this English version is provided for information. The version of these terms named in the accepted offer forms part of the contract. MYNA retains a copy of that version with the offer.
Appendix: processing customer data
This appendix applies only where MYNA actually accesses customer-controlled personal data during setup or support.
A1. Scope and roles
This customer-data appendix applies where MYNA actually accesses personal data controlled by the customer during setup, support, maintenance, troubleshooting, data export or erasure. MYNA acts as controller for website visits, inquiries and its own contract administration; the separate Privacy Policy explains that processing.
The customer determines the purposes and legal basis of its use, informs individuals and manages permissions. MYNA processes customer data as a processor only on documented instructions and to the extent needed for the agreed service.
A2. Subject matter and data categories
Potential categories include user data, prompts, chats, uploaded and shared files, audio recordings, transcripts, technical logs and support communications. The data may concern employees, customers, patients, clients and other people whose information the customer places on the box.
Access is limited to a specific support task. MYNA does not see these contents during normal local operation. Before accessing patient information or other professionally protected data, the parties assess any additional legal and technical requirements.
A3. Instructions and confidentiality
Instructions are recorded in the offer, this appendix or a documented support request. MYNA does not use customer data for its own purposes or to train external models. People authorised to access data are bound to confidentiality.
MYNA flags an obviously unlawful or unsafe instruction where notice is permitted. Further people or subprocessors may access customer data only with the customer's prior approval.
A4. Security and remote access
MYNA limits access to authorised people and what is necessary. Remote maintenance requires customer approval, takes place during an agreed maintenance window through secure temporary access, and is documented. There is no standing or concealed remote access without a separate agreement.
The parties establish risk-appropriate measures for authentication, permissions, encryption, logging, updates and backups. The customer is responsible for internal access rules and backups unless MYNA expressly takes over those tasks.
A5. Third parties and international transfers
External cloud AI APIs, backups and telemetry for customer data are not part of standard operation. MYNA engages a subprocessor that handles customer data only with the customer's prior approval and informs the customer of changes. Disclosure of customer data abroad requires documented customer approval and assessment of the applicable legal conditions.
A6. Incidents and individual rights
If MYNA becomes aware of a data-security breach affecting customer data, it informs the customer as soon as possible with the available facts and supplements them as more is learned. The customer assesses and fulfils its legal notification duties.
MYNA assists the customer to an agreed, reasonable extent with access, correction and erasure requests and security investigations. MYNA forwards inquiries about customer data from affected individuals to the customer where permitted.
A7. Export and erasure
The customer is responsible for exporting needed chats and files in time. The export is not a full system backup. A purchased box is reset only during a remote session approved by the customer. For rented boxes, MYNA erases data using a documented process after the box has been returned.
Support files or logs exceptionally received by MYNA outside the box are used only for the relevant purpose and then erased or returned on instruction, unless a legal retention duty applies.
